Terms of Service

These Terms of Service (“Terms”) govern your use of GoodPin, provided by Tiger Ventures LLC (“GoodPin”, “we”, “us”, or “our”). By accessing or using GoodPin, you agree to these Terms. If you do not agree, do not use GoodPin.

1. Eligibility & Account

  • You must be able to form a binding contract in your jurisdiction and comply with applicable laws.
  • You are responsible for your account credentials and all activity under your account.

2. Use of GoodPin

  • GoodPin helps you discover places via friend‑trusted picks and AI‑assisted trip planning.
  • Do not misuse the service, interfere with its operation, or attempt to access it using methods other than our provided interfaces.
  • Do not upload unlawful, harmful, infringing, or misleading content; do not violate others’ rights or privacy.

3. Your Content & License

You retain ownership of content you submit (e.g., pins, photos, notes, lists). By submitting content, you grant GoodPin a worldwide, non‑exclusive, royalty‑free, sublicensable and transferable license to host, store, reproduce, adapt, publish, translate, create derivative works (only as necessary for technical formatting and service functionality), distribute, publicly perform and display your content in connection with operating, improving, and promoting the Service and displaying content according to your audience settings. You affirm you have the necessary rights to grant this license.

We may remove or restrict content we reasonably believe violates these Terms or applicable law. We maintain a repeat‑infringer policy and may terminate accounts in appropriate circumstances.

4. AI Features & Third‑Party Services

  • GoodPin may use third‑party AI providers and other services (e.g., maps/places) to deliver results and recommendations. Their terms and privacy practices apply in addition to these Terms.
  • AI outputs may be inaccurate, incomplete, or outdated. Do not rely on AI for critical decisions; verify information such as current hours, location, price, safety, and availability.
  • Do not submit sensitive personal information to AI features.
  • We do not endorse third‑party venues or content surfaced via the Service.
  • Export Controls/Sanctions. You represent you are not subject to U.S. sanctions and you agree to comply with applicable export control and sanctions laws.

5. Location

With your permission, we may access device location to show nearby places and improve recommendations. You can change location permissions in your device settings; certain features may not function without it. We do not collect location in the background unless you expressly enable it (if supported).

6. Subscriptions, Trials & Billing

  • GoodPin Premium may be offered as an auto‑renewing subscription via Apple In‑App Purchase. Billing, renewals, refunds, and cancellations are managed by Apple.
  • Auto‑Renewal & Cancellation. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period. Your Apple ID will be charged for renewal within 24 hours prior to the end of the period. Manage or cancel in Settings Apple ID Subscriptions. We do not prorate or refund partial periods; any refunds are governed by Apple’s policies.
  • Free Trials. If offered, trials convert to paid at the published price unless canceled before trial end in Apple ID settings.
  • Pricing Changes. Prices may change. Where required, Apple may notify you and ask you to agree to the new price to continue. Taxes may apply.

7. Acceptable Use & Safety

  • You will not: (i) harass, abuse, or threaten others; (ii) post unlawful, infringing, obscene, or misleading content; (iii) scrape, crawl, or use bots without our written permission; (iv) reverse engineer, probe, or bypass security; (v) spam or engage in deceptive practices.
  • Safety Disclaimer. GoodPin provides information only; we do not control third‑party venues. Verify hours, availability, accessibility, dietary/allergy considerations, and safety before visiting. You are responsible for your decisions and compliance with local laws (e.g., alcohol age restrictions). Do not use the Service while driving.

8. Prohibited Conduct

  • Harassment, hate speech, or any abusive behavior.
  • Infringing others’ intellectual property or privacy rights.
  • Reverse engineering, scraping, or automated data collection without permission.
  • Attempting to bypass security or access non‑public areas.

9. Termination

We may suspend or terminate access to GoodPin at any time for violations of these Terms or to protect the service or its users. You may stop using GoodPin at any time. Upon termination, your right to access the Service ceases. We may retain certain information as required by law or for legitimate business purposes (e.g., safety, fraud prevention), consistent with our Privacy Policy. Certain provisions survive termination (e.g., licenses to content already shared with others, disclaimers, and limitations of liability).

10. Disclaimers

GoodPin is provided “as is” and “as available.” We make no warranties of any kind, express or implied, including accuracy, reliability, or fitness for a particular purpose. We do not control third‑party content or venues; verify important details before visiting a place.

11. Limitation of Liability

To the maximum extent permitted by law, GoodPin and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from or related to your use of GoodPin. In no event will our aggregate liability exceed the greater of (a) $50 or (b) the amounts you paid us (if any) in the 12 months before the claim. Some jurisdictions do not allow certain limitations; these may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless GoodPin and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of GoodPin or your violation of these Terms or applicable law.

13. DMCA / Copyright

If you believe content on GoodPin infringes your copyright, send a notice to our DMCA Agent at support@goodpin.app with: (i) your signature; (ii) identification of the copyrighted work; (iii) identification of the material claimed to be infringing and information reasonably sufficient to locate it; (iv) your contact information; (v) a statement of good‑faith belief; and (vi) a statement under penalty of perjury that the information is accurate and you are authorized to act. We may remove alleged infringing material and terminate repeat infringers.

14. Dispute Resolution; Arbitration; Class Waiver

Binding Arbitration. Any dispute or claim relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS in San Francisco County, California, under the JAMS Streamlined Arbitration Rules, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator shall have authority to award all remedies available at law or in equity.

Individual Basis Only; Class Waiver. Disputes will be resolved only on an individual basis and not in a class, consolidated, or representative action. You and GoodPin waive any right to a jury trial.

Opt‑Out. You may opt out of this arbitration provision within 30 days of creating your account by emailing support@goodpin.app with subject “Arbitration Opt‑Out” and the email tied to your account.

If you do not agree to arbitration, you must opt out as described above; otherwise, you agree to arbitrate disputes as stated.

15. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Subject to the arbitration clause above, any disputes will be resolved in the state or federal courts located in California, and you consent to their jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date. Your continued use of GoodPin after changes take effect constitutes acceptance of the updated Terms.
